1. Agreement to terms

These Terms of Service ("Terms") govern your use of Ordu Labs services, including our website and apps. By using the services, you agree to these Terms on behalf of yourself and, if applicable, your organization.

2. Services and private beta status

Some products are offered in private beta. Features, limits, and availability may change as we improve reliability and product fit. We may modify or discontinue beta features at any time.

3. Eligibility and account responsibility

• You must provide accurate account and business information.
• You are responsible for protecting credentials and access to connected platforms.
• You are responsible for activity under your account and authorized users.

4. Connected platforms and third-party terms

Our services may connect to Stripe, Shopify, Xero, and other providers. Your use of those integrations must comply with their terms, policies, and API requirements.

5. Acceptable use

You agree not to:

• Use the service for unlawful, deceptive, or abusive activity.
• Interfere with service security, reliability, or normal operations.
• Attempt unauthorized access to systems, data, or accounts.
• Use the service in a way that violates third-party platform policies.

6. Fees, billing, and plan limits

Paid plans (when applicable) are billed according to published pricing and plan limits. You are responsible for applicable taxes unless legally exempt. We may update pricing or packaging with reasonable notice.

7. Data and privacy

You retain rights to your business data. You grant us permission to process data as needed to provide the services. Our data handling is described in the Privacy Policy.

8. Intellectual property

Ordu Labs and its licensors retain all rights in the service, including software, design, trademarks, and documentation. These Terms do not transfer ownership rights to you.

9. Feedback

If you provide feedback or suggestions, we may use it without restriction or compensation to improve the service.

10. Suspension and termination

We may suspend or terminate access for violations of these Terms, security risk, non-payment, or legal requirements. You may stop using the service at any time. On termination, access ends and data handling follows our retention and legal obligations.

11. Disclaimer of warranties

The service is provided "as is" and "as available" to the fullest extent allowed by law, without warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. Limitation of liability

To the fullest extent permitted by law, Ordu Labs is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for claims arising from the service is limited to the fees paid for the affected service in the 12 months before the event giving rise to liability.

13. Indemnification

You agree to indemnify and hold harmless Ordu Labs from claims arising from your misuse of the service, violation of law, or violation of these Terms.

14. Governing law and dispute venue

These Terms are governed by the laws of the State of Texas, excluding conflict-of-law rules. Disputes will be resolved in state or federal courts located in Texas, and each party consents to that venue.

15. Changes to these terms

We may update these Terms from time to time. Continued use of the service after updates become effective constitutes acceptance of the revised Terms.
